Terms of Use and Services

In this instrument, the terms below are understood according to the following definitions:

• AKQUINET HKS BRASIL: AKQUINET HKS SOLUÇÕES EM TECNOLOGIA DA INFORMAÇÃO LTDA, a limited liability company registered under CNPJ No. 16.528.380/0001-71.
• PLATFORM: A system consisting of a Web Platform available at the link https://app.mub.one/ and its subdomains, offered by AKQUINET HKS BRASIL, owned, operated, and managed by AKQUINET HKS BRASIL, where all USERS can view and use the available functionalities.
• PERSONAL DATA PROCESSING: Any operation performed by AKQUINET HKS BRASIL with USERS' personal data, such as collection, production, receipt, classification, use, access, reproduction, transmission, distribution, processing, archiving, storage, deletion, evaluation or control of information, modification, communication, transfer, dissemination, or extraction.
• USER(S): An individual or legal entity registered on the PLATFORM, who accesses and/or uses the services offered through the PLATFORM.

This instrument regulates the conditions of use of the PLATFORM's services, constituting a contract between USERS and AKQUINET HKS BRASIL. By using our services, you expressly indicate that you agree with all the terms and conditions contained herein and with the applicable legal provisions.

The USER understands that the subscription to the services offered will be made through free or prepaid monthly or annual plans, budgeted and provided by AKQUINET HKS BRASIL.

To use the PLATFORM, the USER acknowledges the need to install all necessary software and possess all equipment and licenses required for its proper operation.

The USER acknowledges that records of their acceptance, including the date and time of such acceptance, as well as records of access and use of the PLATFORM, will be stored by AKQUINET HKS BRASIL.

The USER understands that the implementation process of the AKQUINET HKS BRASIL software, following the subscription to the service, will incur a mandatory implementation fee, as budgeted by AKQUINET HKS BRASIL.

If requested and subject to AKQUINET HKS BRASIL's availability, onboarding services may be offered remotely to the USER by one of AKQUINET HKS BRASIL's Consultants.

If you DO NOT AGREE with the terms set forth in this T&S, DO NOT CLICK "SIGN UP" or access, view, download, or use any page, content, information, or service from AKQUINET HKS BRASIL in any way. Using our services expressly indicates that you agree with all terms and conditions contained in this T&S and with the applicable legal provisions.

AKQUINET HKS BRASIL is a private company that offers a PLATFORM consisting of software designed to optimize and simplify registration and business processes, enabling USERS to access structured information in their respective operations.

AKQUINET HKS BRASIL's responsibilities are limited solely to ensuring the proper functioning of the PLATFORM and guaranteeing access to its USERS upon prior payment through the portal https://app.mub.one/ and its subdomains.

AKQUINET HKS BRASIL bears no responsibility for:

• (i) any breach by a USER of agreements made during negotiations with other USERS or third parties;
• (ii) damage resulting from the inability to use the PLATFORM;
• (iii) incorrect completion of data by the USER on the PLATFORM;
• (iv) data made available by USERS through the PLATFORM;
• (v) any other act or event resulting from the conduct of USERS.

AKQUINET HKS BRASIL grants a temporary, non-exclusive, non-transferable, and revocable license, at its discretion, for USERS to access the PLATFORM, subject to the following conditions:

• (i) All licensed services used are subject to the provisions of these T&S.
• (ii) Licensed services must be used solely for the USER's operations and may not be transferred to third parties.
• (iii) All commercial use licenses sold through the Portal are temporary, valid for the period paid by the USER. Non-payment of any subsequent period will result in immediate cancellation of access to the licensed service, which will only be reactivated upon proof of payment of the outstanding amount.
• (iv) Licensed services will be continuously updated through the PLATFORM automatically whenever a new version is released. Changes to the licensed services may occur at any time due to version updates, and the USER consents to such changes upon subscribing to any service license.
• (v) USERS subscribing to the PLATFORM's free plan acknowledge the predefined usage limitations set by AKQUINET HKS BRASIL and that AKQUINET HKS BRASIL may revoke the granted access license at any time and for any reason it deems appropriate.
• (vi) The services available on the PLATFORM are licensed to the USER, who must ensure that the service, as offered, meets their needs. The USER may not hold AKQUINET HKS BRASIL liable if they later determine that the licensed service does not meet their requirements.
• (vii) Any damage, for any reason, resulting from misuse, accidents, malpractice, recklessness, or negligence by the USER in using the PLATFORM is the sole responsibility of the USER, with no joint or subsidiary liability attributable to AKQUINET HKS BRASIL.
• (viii) AKQUINET HKS BRASIL will not be liable for damages to the USER resulting from unauthorized changes to the PLATFORM, system intrusions, viruses, or other harmful elements.
• (ix) AKQUINET HKS BRASIL will not be liable for decisions made by the USER based on the use of the PLATFORM's functionalities.

The USER understands that internet access is required to use the PLATFORM, for which AKQUINET HKS BRASIL bears no responsibility.

The PLATFORM can be used on computational devices with standard market internet browsers (e.g., recent versions of Google Chrome and Firefox). Mobile devices may access it through their browsers, though some system screens may have restrictions.

The USER acknowledges that minor programming defects or temporary unavailability of the PLATFORM are common to all software, thus exempting AKQUINET HKS BRASIL from liability for damages arising from typical defects beyond the normal use of the worldwide computer network. AKQUINET HKS BRASIL's responsibility is limited to correcting such minor programming defects.

The services offered by AKQUINET HKS BRASIL are available to fully capable individuals and legal entities duly registered with a CNPJ.

Complete and accurate completion of all data requested by the PLATFORM during registration is required for USERS to be enabled to use the PLATFORM.

The registration of USERS on the PLATFORM will be carried out through the provision and processing of the following data to AKQUINET HKS BRASIL: a) CNPJ number of their commercial establishment or CPF; b) Full name or corporate name; c) Name of the responsible administrator; d) Email address; e) Full address; f) Business segments of the company.

The collection of USER data aims to identify them and enable their use of the services provided on the PLATFORM, ensuring the quality of the contracted services.

The USER recognizes that without the aforementioned data, AKQUINET HKS BRASIL will be unable to guarantee the PLATFORM's functionality and, consequently, the provision of contracted services.

It is the sole responsibility of USERS to provide, update, and ensure the accuracy of registration data. AKQUINET HKS BRASIL bears no civil or criminal liability for inaccurate, incorrect, or incomplete data provided by USERS.

AKQUINET HKS BRASIL reserves the right to use all valid and possible means to identify its USERS and to request additional data and documents it deems relevant to verify the information provided. In such cases, the USER's use of the PLATFORM is contingent upon submitting the requested documents.

The USER will access their PLATFORM account using login and password, agreeing not to disclose this information to third parties and assuming full responsibility for its use.

The USER may use the PLATFORM on as many computers as desired, respecting the number of contracted licenses.

The USER may access the data collected and processed by AKQUINET HKS BRASIL free of charge through the link https://app.mub.one/ and its subdomains and may request its editing or deletion at any time.

The USER agrees to immediately notify AKQUINET HKS BRASIL, through the help channel provided on the PLATFORM, regarding any unauthorized use of their account.

The USER will be solely responsible for operations carried out in their account, as access is only possible with the use of a password known exclusively to them.

The USER agrees to immediately notify AKQUINET HKS BRASIL, through the contact channels provided on the PLATFORM, regarding any knowledge of irregularities by other USERS that may cause harm to the PLATFORM's USERS, the PLATFORM itself, AKQUINET HKS BRASIL, or third parties.

Under no circumstances will the assignment, sale, rental, or any other form of transfer of the USER's account be permitted.

At its sole discretion, AKQUINET HKS BRASIL may, without prior notice or compensation, delete, disable, suspend, or block USER registrations that violate the terms of this T&S or applicable law, for an indefinite period.

AKQUINET HKS BRASIL reserves the right to deny new registrations for USERS previously canceled, disabled, blocked, deleted, or suspended from the PLATFORM. The creation of new registrations by individuals whose original registrations were canceled, blocked, disabled, deleted, or suspended due to violations of AKQUINET HKS BRASIL's policies or applicable law is expressly prohibited.

AKQUINET HKS BRASIL reserves the right to unilaterally, without prior notice, consent, or compensation, refuse any USER registration request on the PLATFORM, as well as cancel, disable, block, delete, or suspend the use of a previously accepted registration.

The PLATFORM offers the following services to USERS:

• a. Workflow Management;
• b. Management of Item, Business Partner, and Custom Domain master data;
• c. Reports;
• d. Portals;
• e. APIs and webhooks;
• f. General settings and adjustments.

Additional functionalities developed by AKQUINET HKS BRASIL and made available on the PLATFORM will also be subject to these T&S.

The USER expressly acknowledges that they do not hold any industrial and/or intellectual property rights over any component, creation, computer program, image, design, or any other data available on the PLATFORM.

AKQUINET HKS BRASIL reserves the right to modify the PLATFORM's access conditions at any time and at its sole discretion, altering its design and/or presentation, adding or removing functionalities and/or information, or making any other changes, without granting the USER any right to claim damages for any reason.

Unauthorized use of the names and/or brands AKQUINET HKS BRASIL and MUB by the USER, including their legal representatives, agents, employees, or others, will result in the immediate termination of this contractual relationship, subjecting the offending party to applicable civil and criminal penalties.

AKQUINET HKS BRASIL will provide support to PLATFORM USERS every day during business hours (9:00 AM – 12:00 PM and 1:30 PM – 6:00 PM Brasília time) via email at service.desk@akquinet.com.br, through the help desk, ticket submission, or remote assistance.

For support requests via email, AKQUINET HKS BRASIL will have up to 72 (seventy-two) business hours to respond.

Support will be provided at AKQUINET HKS BRASIL's discretion based on its workload, and it cannot be penalized for instances where it is unable to assist the USER.

The USER understands that AKQUINET HKS BRASIL requires a minimum usage period on its PLATFORM. To cancel a monthly or annual subscription, the USER must notify AKQUINET HKS BRASIL with at least 90 calendar days' notice, superseding any adjustments agreed upon in a separate contract between the USER and AKQUINET HKS BRASIL.

If cancellation is requested, the USER acknowledges that they will not be entitled to any refunds.

If AKQUINET HKS BRASIL identifies any remaining balance in favor of the USER, such balance shall be used to extend the Term until the balance is fully used in the PLATFORM. Under no circumstances will the remaining balances be returned to the USER in cash.

The USER understands that termination of their account on the PLATFORM will only be made by AKQUINET HKS BRASIL if the USER has no outstanding financial obligations.

AKQUINET HKS BRASIL reserves the right to suspend or terminate the provision of the PLATFORM at any time, at its discretion and without prior notice.

This T&S will remain in effect for the duration of the prepaid plan chosen by the USER or for as long as the free license granted is valid.

This T&S may be unilaterally terminated by AKQUINET HKS BRASIL in the event of non-compliance with any obligations assumed by the USER.

Upon termination of this T&S, the USER will no longer have access to the PLATFORM.

Payments will be made through the issuance of an invoice and subsequent bank deposit, or PIX, using the CNPJ key: 16.528.380/0001-71.

USERS accept and agree that the information registered on the PLATFORM may be published and/or provided as set forth in this T&S.

Data collected and processed by AKQUINET HKS BRASIL through the PLATFORM will be stored on servers subcontracted to Amazon AWS, a company headquartered outside Brazil, contactable via: https://aws.amazon.com/contact-us/.

Data storage and PERSONAL DATA PROCESSING by AKQUINET HKS BRASIL will persist as long as the USER's registration remains active on the PLATFORM.

Any information provided will be stored in a database controlled by AKQUINET HKS BRASIL. This database may be hosted on servers located outside the USER's or AKQUINET HKS BRASIL's country, owned by the subcontracted company mentioned herein, in compliance with the safeguards and protections required by Law No. 13.709/18 - LGPD (Brazilian General Data Protection Law).

The servers are owned and managed by service providers contracted by AKQUINET HKS BRASIL, such as AMAZON AWS.

Even when using computational infrastructure managed by third parties, AKQUINET HKS BRASIL does not authorize the use of USER information by the service provider in a manner inconsistent with the purposes outlined in this T&S.

AKQUINET HKS BRASIL selects world-leading data security service providers, and it disclaims liability for any potential hacker attacks or security technology failures that may expose this information, subject to its responsibility as provided under Brazilian Law No. 13.709/18 - LGPD.

AKQUINET HKS BRASIL protects all USER personal data using technically and economically reasonable standards of care, given the current state of internet technology.

The USER acknowledges that no complete security can be expected on the internet against website intrusions or other irregular acts.

AKQUINET HKS BRASIL reserves the right to provide USER data and information, as well as the entire system used in the PLATFORM, to its technical team, which may consist of AKQUINET HKS BRASIL employees and/or a subcontracted company.

All members of the technical team, whether employees or a subcontracted company, will sign a confidentiality agreement, committing to maintain strict confidentiality regarding all commercial, accounting, administrative, technological, infrastructural, technical, or any other data disclosed as a result of maintaining the PLATFORM's operation and security. They will refrain from using such data for their own benefit or that of third parties and will ensure that their partners, employees, and trusted third parties, informed of this obligation, do the same.

AKQUINET HKS BRASIL is not authorized to provide personal data registered by the USER to third parties, except as provided in this T&S or in legally mandated cases. However, only information relating to an identified or identifiable natural person will be considered personal data.

Thus, market-related, operational, or other information not falling under the above definition will not be considered personal data.

It is the exclusive competence of Brazilian courts and legal authorities to request, with justification, that AKQUINET HKS BRASIL provide personal data of a USER who demonstrably violates the terms and conditions of this T&S or applicable legal provisions. AKQUINET HKS BRASIL reserves the right to provide such data to competent courts and legal authorities when duly requested.

The USER agrees to keep their registration data updated and to inform AKQUINET HKS BRASIL of any changes, particularly regarding payment details and their email address, which will serve as the primary communication channel between AKQUINET HKS BRASIL and USERS.

AKQUINET HKS BRASIL may amend this T&S at any time by publishing a revised version on AKQUINET HKS BRASIL's website. For this reason, we strongly recommend periodically visiting this section of our site and reviewing it. However, to foster a good relationship, we will also send an email notifying you of these changes.

This T&S constitutes the full understanding between the USER and AKQUINET HKS BRASIL and is governed by Brazilian law. The jurisdiction of the city of Caxias do Sul – RS is hereby elected as the sole competent venue to resolve disputes arising from this T&S, with express waiver of any other jurisdiction, regardless of privilege.
